1. Introduction

These Terms and Conditions constitute a legally binding agreement between you (the "Patient", "User", "you", or "your") and Stirling Health Hub (ABN 29 662 294 268) ("Stirling Health Hub", "the Clinic", "we", "us", or "our"), a private specialist mental health clinic located at 16 Druid Avenue, Stirling, South Australia 5152. This document governs your access to and use of our physical premises, administrative services, digital infrastructure, and all associated management functions provided by Stirling Health Hub. By engaging with our administrative services, booking an appointment, or attending our premises, you agree to be bound by these Terms and Conditions in their entirety. It is imperative that you read this document carefully. This document outlines the distinct operational, legal, and financial separation between the administrative services provided by Stirling Health Hub and the clinical services provided by the independent medical and allied health practitioners operating from our suites.

2. Acceptance of Terms

By submitting a referral, initiating a booking request, or attending the Clinic for a consultation or treatment, you expressly acknowledge that you have read, understood, and accepted these Terms and Conditions. If you are accepting these Terms and Conditions on behalf of another person (such as a minor where permitted by law, or a person for whom you are the legally appointed guardian or hold an Enduring Power of Attorney), you warrant and represent that you possess the requisite legal authority to bind that individual to these Terms and Conditions. If you do not agree to these Terms and Conditions, you must refrain from engaging our administrative services and abstain from booking appointments at the Clinic.

3. Definitions

• "AHPRA" means the Australian Health Practitioner Regulation Agency. • "Australian Consumer Law" or "ACL" means Schedule 2 of the Competition and Consumer Act 2010 (Cth). • "Clinic" refers to the physical premises of Stirling Health Hub located in Stirling, South Australia, and the administrative entity operating it. • "Clinician" or "Practitioner" means any independent psychiatrist, psychologist, or other registered healthcare professional who consults, assesses, and provides clinical services from the Clinic premises. • "Services" means the administrative, reception, appointment booking, billing collection, and facility management services provided by Stirling Health Hub. • "Telehealth" means the delivery of healthcare services via electronic communication technologies, including secure video and audio conferencing platforms. • "TMS" means Transcranial Magnetic Stimulation.

4. About Stirling Health Hub

Stirling Health Hub is a premium administrative and infrastructure service provider dedicated to facilitating the delivery of specialist mental healthcare. The Clinic provides fully equipped clinical consulting rooms, reception and administrative personnel, appointment management software, and secure billing support systems. We are committed to maintaining a professional, secure, and compliant environment to support the independent Clinicians who utilise our facilities to treat their patients.

4.1 Nature of Services

Stirling Health Hub facilitates the provision of evidence-based outpatient mental health services by providing critical infrastructure to independent Clinicians. The clinical services available through the practitioners operating at our facility include, but are not limited to: Psychiatry, Psychology, Transcranial Magnetic Stimulation (TMS), MRI-guided TMS, Intranasal Esketamine Therapy, Adult Autism Assessments, Comprehensive Psychiatric Assessments, Mental Health Assessments, Second Opinions, Follow-up Consultations, Treatment Planning, and Referral Management.

4.2 Outpatient Scope Limitations

Stirling Health Hub operates strictly on an elective, outpatient basis. Under no circumstances does the Clinic provide emergency care, acute inpatient services, hospital admissions, involuntary psychiatric holds, or general practice (GP) medical services.

5. Independent Medical Practitioners

Stirling Health Hub operates under a "Service and Facility" model common within the Australian private healthcare sector. All medical practitioners, psychiatrists, psychologists, and allied health professionals practising at Stirling Health Hub are entirely independent practitioners. They are not employees, partners, agents, or joint venturers of Stirling Health Hub. The Clinic provides consulting rooms, reception, administration, appointment management, billing support, and patient communication services. Nothing in these Terms limits any non-delegable obligations imposed by law. All clinical decision-making, medical advice, diagnosis, prescribing, treatment, and clinical record-keeping are the sole, exclusive, and non-delegable responsibility of the treating Clinician. Stirling Health Hub accepts no vicarious liability for the clinical acts, omissions, negligence, or professional misconduct of the independent Clinicians. By engaging with a Clinician at Stirling Health Hub, you acknowledge and agree that your clinical therapeutic relationship is exclusively with that individual practitioner and not with the Clinic entity.

6. Eligibility to Use Our Services

To utilise the administrative services of Stirling Health Hub and book appointments with Clinicians operating from our premises, you must be legally capable of entering into binding contracts. Where services are sought for individuals lacking the legal capacity to consent to medical treatment, a legally authorised representative must provide consent and accept these Terms and Conditions on their behalf. Specific psychiatric and psychological treatments, such as Adult Autism Assessments, TMS, and Intranasal Esketamine Therapy, carry their own distinct, rigorous clinical eligibility criteria. These criteria are assessed solely by the independent Clinicians based on peer-reviewed guidelines and are independent of these administrative Terms and Conditions.

7. Appointments and Referrals

The booking, scheduling, and management of appointments are facilitated by Stirling Health Hub strictly on behalf of, and under the direction of, the independent Clinicians. Access to specialist psychiatric services at Stirling Health Hub strictly requires a valid and current referral from a registered medical practitioner (typically a General Practitioner) prior to the scheduling of an initial appointment.

8. Fees, Billing, and Financial Obligations

The fees for clinical services are determined individually by each independent Practitioner, not by Stirling Health Hub. The Clinic solely administers the invoicing and collection of these fees as a collection agent on the Practitioner's behalf. Stirling Health Hub operates strictly on a private billing basis. We do not provide bulk-billing services under any circumstances.

9. Cancellation, Late Arrival, and No-Show Policies

If you need to cancel or reschedule an appointment, you must provide Stirling Health Hub with a minimum of two (2) full business days' notice (excluding weekends and South Australian public holidays). Cancellations made with less than two (2) business days' notice will incur a mandatory cancellation fee. This fee is determined by the independent Clinician's policy and may equate to up to 100% of the standard consultation fee.

10. Patient Rights and Responsibilities

By attending Stirling Health Hub, you agree to act respectfully, cooperatively, and honestly in all interactions with administrative staff, nursing staff, and Clinicians. You must comply with all reasonable directions given by Clinic staff regarding occupational health and safety, facility protocols, and emergency procedures. You are strictly responsible for providing true, accurate, current, and complete information regarding your medical history, psychiatric history, current medications, allergies, and previous treatments.

11. Consent to Treatment and Capacity

The process of obtaining informed consent is a fundamental clinical, legal, and ethical requirement. Prior to commencing any treatment, your Clinician will engage you in a rigorous process of informed consent. You maintain the absolute and inalienable right to withdraw your consent to any treatment, assessment, or procedure at any time.

12. Telehealth Services

Independent Clinicians may, strictly at their professional clinical discretion, offer consultations via Telehealth (secure video or telephone). Telehealth services are subject to the exact same rigorous clinical standards, professional obligations, and privacy requirements as face-to-face consultations.

13. Specific Clinical Services and Modalities

Specific treatments including TMS, Intranasal Esketamine Therapy, and Adult Autism Assessments carry additional terms, regulatory requirements, and clinical protocols as detailed in the full Terms and Conditions document.

14. Prescription Policy

The decision to prescribe, adjust, or cease medication rests solely within the clinical judgment of the independent treating doctor. Stirling Health Hub does not facilitate the provision of "automatic" or routine repeat prescriptions without a formal clinical consultation.

15. Emergency Medical Situations

Stirling Health Hub is strictly an elective, outpatient specialist facility. We are not equipped, staffed, or legally designated to handle medical or psychiatric emergencies. In any emergency situation, you must immediately telephone emergency services on 000, or present directly to the emergency department of your nearest major hospital.

16. Limitation of Liability

To the maximum extent permitted by law, Stirling Health Hub (the administrative entity), its directors, employees, and agents, exclude liability for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of the Clinic's administrative services. Nothing in these Terms operates to exclude any right, remedy, guarantee, or warranty mandated by the Australian Consumer Law (ACL) which cannot lawfully be excluded.

17. Dispute Resolution and Complaints

Administrative complaints should be submitted in writing to the Practice Manager. Clinical complaints must be directed to the Clinician directly, or escalated to AHPRA (Australian Health Practitioner Regulation Agency) or the HCSCC (Health and Community Services Complaints Commissioner) of South Australia.

18. Respectful Behaviour Policy

Stirling Health Hub strictly enforces a zero-tolerance policy regarding abuse, harassment, intimidation, or aggressive behaviour directed toward our staff, Clinicians, or other patients.

19. General Provisions

These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by the laws in force in the State of South Australia. Stirling Health Hub reserves the right to amend these Terms and Conditions at any time.
